Welcome to Dental Resource Network Portal! These services are provided to you by Dental Resource Network LLC ("Dental Resource Network", "the Platform" or "Company"). These Terms of Service ("Terms") therefore constitute an agreement between you and Dental Resource Network. If you do not agree to these Terms, do not access or use Dental Resource Network or any of the services provided through the Platform.

These Terms make up the entire agreement between you and Dental Resource Network regarding your use of the Platform and supersede any prior agreements.

We do not charge users to access the Dental Resource Network Platform, unless we state otherwise. To support and maintain the Platform, businesses, organizations, and individuals may pay us to display promotions, sponsored content, and advertisements. By accessing and/or using the Platform, you accept and agree to be bound by these Terms, our Privacy Policy, and any additional terms, conditions, and limitations posted on the Platform, just as if you had agreed to these Terms in writing. By using the Platform, you also agree that we may display content and advertisements that we believe may be relevant to you and your interests. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

This Platform provides informational and professional services to licensed dental professionals, businesses, patients, and individual users interested in the dental industry. We reserve the right, at our discretion, to change, modify, add, or remove portions of these Terms at any time and without notice. Please check these Terms periodically for changes. YOUR CONTINUED USE OF THE PLATFORM AFTER SUCH POSTING CONSTITUTES YOUR CONSENT TO BE BOUND BY THE TERMS, AS AMENDED.

1. The Services We Provide.

Our mission is to empower dental professionals and create a thriving, connected dental community. To help fulfill this mission, the Platform provides services designed to:

1.1 Connect you with people and organizations:

The Platform helps you discover and engage with dental professionals, businesses, organizations, practices, and peers that matter to you. Users can also connect with vendors and discover relevant service providers through the Vendor Directory. We use data to recommend connections, groups, events, and content.

1.2 Empower Licensed Professionals to express themselves:

Dental Professionals may share professional content, practice updates, clinical cases, photos, videos, and other materials on the Platform. We provide tools that allow Dental Professionals to communicate, express themselves, and engage with the dental community.

1.3 Help you discover relevant content, products, and services:

We display personalized advertisements, offers, and sponsored content to help you discover dental-related products and services that may interest you. Users may also browse listings for dental offices for sale, including detailed profiles, locations, and terms provided by sellers or brokers within the dental industry.

1.4 Use and develop advanced technologies:

We use technology, including machine learning and artificial intelligence, to enhance Platform functionality, personalize your experience, improve security, and better serve our community.

1.5 Conduct research and improve services:

We analyze data and conduct research to improve the Platform and its features. This includes testing new features and learning how members use the Platform.

The Platform may collect, aggregate, analyze, mobilize, and use content, usage patterns, metadata, and other data points to conduct research, feature testing, user behavior analysis, service optimizations, analytics, and product development. By using the Platform, users consent to the anonymized or aggregated use of their data for such purposes. The anonymity of aggregate data is intended to protect user privacy, though absolute anonymity cannot be guaranteed. Research findings are generated internally and may not be peer-reviewed or scientifically validated; they are shared for informational purposes only and are not intended to support any definitive claims. Users are responsible for interpreting insights appropriately and should consult independent experts before relying on findings for clinical decisions, policy-making, or business strategy. The Platform assumes no responsibility for outcomes based on research-derived conclusions.

1.6 Provide consistent experiences:

We aim to offer a seamless experience across the different components of the Platform, including profiles, group spaces, listings, and messaging.

1.7 Enable global access:

We may store, transfer, and process data through a network of servers and partners to provide uninterrupted access to the Platform, even across state boundaries.

1.8 User Registration and Verification:

Users may register as either a patient, individual user, dental professional, or vendor.

Registration and Verification Tiers:

• Patients/Individual users:
  • The use of the Platform is free as a patient/individual. With the use of the Platform, you may access the following features at no cost: access to Smile Feed, dentist profiles and directory filters, unlimited private messages to dentists, comments and tags on Smile Feed posts, ability to write testimonials/reviews, and upload images onto dentist profiles.
  • Patients and individual users will have access only to the Smile Feed, Job Postings, and Vendor Directories. All other sections of the Platform are exclusively intended for licensed Dental Professionals and Vendors. Only licensed dentists are permitted to post content on the Smile Feed.
  • Limitations of use: Although Patients/individual users may write comments on the Smile Feed and in the Dental Jobs tab, they may not post on the Smile Feed. Patients/individual users do not have access to the Dental Pro Space categories.
• Dental Professionals:
  • The use of the Platform is free as a Dental Professional. With the use of the Platform, you may access the following features at no cost. Licensed dentists may post content on the Smile Feed and upload photos, including patient images and before-and-after cases. Only licensed dentists with a verifiable and active dental license are permitted to post on the Smile Feed. In order to access the Smile Feed, a registration of the Dental Professional will be required including the Dental Professional's name, address, practice location and dental license.
  • All users may view and filter dentist profiles and directories, post comments and tags on Smile Feed posts, and write testimonials with the option to upload supporting images to dentist profiles.
  • Additionally, Dental Professionals can create and participate in groups and professional communities to foster collaboration within the dental field. The Platform allows unlimited private messaging to licensed dentists.
• Vendors:
  • The use of the Platform is free to a Vendor. With the use of the Platform, you may access the following features at no cost: access to Smile Feed, dentist profiles and directory filters, unlimited private messages to dentists or members, comments and tags on Smile Feed posts, ability to write testimonials/reviews, upload images onto dentist profiles, post job offers, list dental practices for sale, list dental equipment, create vendor listings, and appear in the Vendor Directory.

1.9 Job Postings:

The Platform features a Job Postings section to connect dental professionals and individual users with employment opportunities in the dental industry. Any user may post job openings so long as it is related to the dental industry. Licensed professionals and individual users may search and apply for jobs based on location, specialty, and other filters. Patients and individual users may view job postings but may not post unless registered as dental professionals.

1.10 Webinars, Podcasts, and Educational Courses:

The Platform offers access to educational content, including live and recorded webinars, audio and video podcasts, and self-paced online courses. These resources are designed to support professional development, clinical excellence, and business growth within the dental industry. Features may include:

• Continuing education opportunities and continued education credit eligibility (where applicable).
• Interactive webinars with Q&A sessions hosted by industry experts.
• Podcasts featuring interviews, practice management tips, and industry trends.
• Courses developed by accredited professionals or third-party providers.
• Enrollment tracking, completion certificates, and saved progress for registered users.

Some content may be available for free, while others may require payment or a subscription. Access to certain educational materials may be restricted to verified dental professionals.

2. Use of Submitted Information for Marketing and Vendor Relationships

All information entered into the Platform may be used by the Company to facilitate services, including blast communications, promotional messaging, and targeted outreach. BY USING THE PLATFORM, YOU AUTHORIZE THE COMPANY TO USE THIS DATA FOR COMMUNICATION AND MARKETING PURPOSES.

2.1 Advertiser Interaction and Privacy:

We respect your privacy and do not sell your personal data unless you provide prior consent. We reserve the right to sell data to affiliated vendors, consistent with applicable law. However, this data does not include personally identifiable information (such as your name, email address, or other contact information) unless you have given us explicit consent.

Advertisers may target ads to broad audience segments, and we may provide them with aggregated reports regarding ad performance. However, unless you have given us your explicit consent, we do not share information that directly identifies you with advertisers.

3. Your Commitments to Dental Resource Network and Our Community

We provide these services to you and others to help advance our mission of creating a trusted dental community. In exchange, we require you to make the following commitments:

3.1 Who can use the Platform.

To foster trust, accountability, and professionalism, you must:

• Provide accurate information when creating your account or profile.
• Provide accurate licensing information.
• Create only one account and use it for personal, professional, or business purposes, consistent with your role.
• Do not share your login credentials or transfer your account to anyone else without our permission.
• Keep your contact and practice information up to date.

You may not use the Platform if:

• You are under the age of 18.
• You are prohibited by law or professional licensing restrictions from participating in such a Platform.
• We have previously disabled your account due to violations of these Terms or our policies.

3.2 What you can share and do on the Platform

We encourage members to share meaningful and professional content, but not at the expense of the safety, privacy, or integrity of others. You agree not to engage in conduct that:

• Violates these Terms or our published policies.
• Is unlawful, misleading, fraudulent, defamatory, or discriminatory.
• Infringes the intellectual property or privacy rights of others.
• Involves uploading viruses, malware, or harmful code.
• Attempts to gain unauthorized access to the Platform or its data.
• Interferes with the security or proper functioning of the Platform.

We reserve the right to remove content or disable accounts that violate these provisions. We may also take appropriate legal action where required.

3.3 User Conduct

You agree not to engage in conduct that violates these Terms or our published policies, including conduct that is unlawful, misleading, fraudulent, defamatory, or discriminatory; infringes the intellectual property or privacy rights of others; involves uploading viruses or malware; or interferes with the security or proper functioning of the Platform.

We reserve the right to remove content or disable accounts that violate these provisions and may take appropriate legal action where required.

3.4 Permissions you give us

To operate the Platform, we require certain legal permissions from you:

Your content:

You retain ownership of any intellectual property rights in content you post (such as clinical cases, articles, images, and videos). By posting content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, host, store, distribute, and reproduce your content for the purposes of operating, improving, and promoting the Platform.

All content available through the Platform is the property of Dental Resource Network or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate the information owned by Dental Resource Network or its licensors.

You may display, reformat, and print content for personal, non-commercial use only.

Deleting your content:

You may delete content you have posted at any time. When you delete content, it will no longer be visible to other users. However, it may take us additional time to remove it from backup systems. Certain content may remain if required by law or retained for legitimate business purposes (for example, where it has been shared by others).

Use of your name and profile:

You grant us permission to display your name, profile, and public interactions (such as comments, or participation in discussions) in connection with ads, sponsored content, and other Platform features. You can manage your preferences regarding this visibility through your account settings.

Platform software updates:

You agree that we may install updates to Platform software or features as required to maintain, improve, or secure the Platform.

3.5 Limits on using our intellectual property

We retain all rights to content that we create and make available through the Platform (such as logos, designs, and system features). You may not copy, reproduce, or distribute our intellectual property without our prior written permission.

3.6 Reviews and Community Rules

We encourage constructive, professional reviews and feedback across the Platform. However, to maintain a respectful and safe community, we enforce the following:

• No harassment, defamatory content, or abusive behavior is permitted.
• We reserve the right to remove reviews or content that violate these standards.
• We may deny access to users who breach these rules or attempt to misuse the review systems.

3.7 Content Use and Public Record Notice

Any photos, comments, communications, or content posted on the Platform may be considered part of the public record within the community. This means:

• Content may be visible to other users and used by the Company for promotional or educational purposes.
• We reserve the right to use such content internally and to allow members to view or interact with it, in accordance with our Terms and Privacy Policy.

4.1 Updates to these Terms:

We may update these Terms periodically to reflect changes to the Platform, services, legal requirements, or business practices. We will notify you of material changes. Continued use of the Platform after changes are effective constitutes acceptance of the updated Terms.

4.2 Account suspension or termination:

We may suspend or permanently disable your account if:

• You clearly, seriously, or repeatedly breach these Terms or other policies.
• You engage in conduct that compromises the safety or integrity of the Platform or harms other users.
• You infringe the intellectual property rights of others.
• You violate applicable laws or regulations.

We also reserve the right to suspend or delete inactive accounts or unconfirmed registrations. If we take such action, we will notify you, unless prohibited for legal or technical reasons.

4.3 Limits on liability.

All services and content provided through the Platform are offered "as is" and "as available" without warranties of any kind, either express or implied. THE PLATFORM DISCLAIMS ALL LIABILITY FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR REPUTATION. USERS INTERACT WITH THIRD-PARTY CONTENT, VENDORS, OR EMPLOYERS AT THEIR OWN RISK. THE PLATFORM IS NOT RESPONSIBLE FOR THE CONTENT, ACTIONS, OR OFFERINGS OF ANY THIRD PARTY ACCESSED THROUGH ITS INTERFACE. WE RESERVE THE RIGHT TO MODIFY OR UPDATE THESE DISCLAIMERS AT ANY TIME WITHOUT PRIOR NOTICE.

The Platform does not control user content or actions and is not responsible for the conduct of Platform members. We are not liable for any lost profits, data, or consequential damages arising from your use of the Platform. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

4.4 Dispute resolution.

4.4.1 Binding Arbitration Agreement and Class Action Waiver

This arbitration agreement is governed by the Federal Arbitration Act and will apply to any dispute between you and Platform. The arbitration will be conducted in Broward County, Florida. The arbitrator will have the authority to award any individual relief permitted by law.

4.4.2 Jurisdiction and Applicable Laws

Dental Resource Network operates the Platform from its offices in Broward County, Florida. By accessing this Platform, you and Company agree that the statutes and laws of the state of Florida, without regard to its conflict of laws principles, will apply to all matters related to the use of the Platform or its information.

You and Company also agree and hereby submit to the exclusive personal jurisdiction and venue of the State and Federal courts located in Broward County, Florida, with respect to such matters.

4.5 Miscellaneous

• Severability: If any provision of these Terms is found unenforceable, the remainder will remain in effect.
• No transfer: You may not transfer your rights or obligations under these Terms to another party without our consent.
• No third-party beneficiaries: These Terms do not create third-party beneficiary rights.
• Feedback: We appreciate feedback about the Platform and may use it freely without any obligation to compensate you.

4.6 Changes to Terms

We may update these Terms periodically. Continued use of the Platform after changes are effective constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Platform and may delete your account.

4.7 Platform Neutrality

Dental Resource Network is not affiliated with any specific dentist, provider, or vendor listed or featured on the Platform. We do not endorse or guarantee the services of any listed professional or business. Our role is strictly to facilitate communication and information sharing.

4.8 Entire Agreement

These Terms, along with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Dental Resource Network regarding your use of the Platform and supersede any prior agreements.
